Terms of Use

You must be at least 18 years old to create or use a Plantshaven account.

You agree to provide accurate information when creating your account and to keep your account information reasonably up to date.

You are responsible for maintaining the confidentiality of your account credentials and for activity carried out through your account.

You must notify us if you believe your account has been accessed or used without authorization.

You may not impersonate another person, create an account using information you are not authorized to use, or transfer your account to another person without our permission.

Plantshaven provides digital tools intended to support agricultural activities and decision-making.

Depending on the product and features available to you, the Services may include:

• Agricultural information and assistance.
• AI-powered features.
• Image-based agricultural analysis.
• Agricultural records and record keeping.
• Community features.
• Farm and operational management tools.
• Weather and location-aware functionality.
• Other agricultural tools we introduce from time to time.

Features may change, improve, be replaced or be discontinued as Plantshaven develops.

We do not guarantee that every feature will always be available or available in every location.

Some Plantshaven features use artificial intelligence to generate information, assessments, suggestions or other outputs based on information you provide.

AI systems can make mistakes.

Outputs may be inaccurate, incomplete, outdated, inconsistent or inappropriate for your particular circumstances.

You should use reasonable judgment when relying on AI-generated information and consider relevant circumstances that Plantshaven may not know about.

Plantshaven does not guarantee the accuracy or completeness of AI-generated outputs.

You must not represent AI-generated information as having been independently verified by Plantshaven or by a qualified professional unless it has actually been verified.

Plantshaven is designed to support agricultural decision-making, but information provided through the Services is informational and decision-support material.

It is not a guarantee of:

• A particular diagnosis.
• Crop health or survival.
• Yield or production.
• Treatment effectiveness.
• Financial results.
• Regulatory compliance.
• Suitability of a particular agricultural input or practice.

Agricultural conditions vary based on factors such as crop variety, climate, soil, disease pressure, location, farming practices, product formulation and local regulation.

You remain responsible for agricultural and operational decisions you make using information provided through Plantshaven.

Where appropriate, you should seek advice from a qualified agronomist, agricultural professional, extension service or other relevant professional.

Plantshaven may provide general information concerning agricultural practices, treatments or categories of agricultural inputs.

Such information should not be treated as authorization to purchase, mix, apply or use a regulated agricultural product.

Before using any pesticide, herbicide, fungicide, fertilizer, biological product or other agricultural input, you are responsible for:

• Checking the product's current label and instructions.
• Confirming that the product is authorized and appropriate for the intended crop, use and location.
• Following applicable dosage, application, safety and protective-equipment requirements.
• Observing applicable pre-harvest, re-entry and other safety intervals.
• Complying with applicable laws and regulations.

Where Plantshaven information conflicts with an official product label, applicable law or instruction from a competent authority, the official requirement takes precedence.

Plantshaven may provide weather, location-based information or other environmental information.

Weather and environmental conditions can change rapidly, and information supplied through the Services may be delayed, incomplete or inaccurate.

You should not rely exclusively on Plantshaven for decisions where inaccurate or delayed weather information could create significant risk to people, animals, property or agricultural operations.

Plantshaven may allow you to create and maintain agricultural or operational records.

You are responsible for:

• The accuracy of information you enter.
• Maintaining any additional records required by law or your business.
• Ensuring that you have authority to enter information relating to farms, businesses, workers, customers or other people.
• Maintaining appropriate independent records where loss of information would cause significant harm.

Plantshaven is not intended to serve as the sole legally required accounting, employment, regulatory or compliance record for your business unless we expressly state otherwise.

Some functionality may operate offline and synchronize when connectivity becomes available. Synchronization may occasionally be delayed or fail.

Plantshaven may provide Community features that allow users to publish content and interact with others.

You are responsible for content you publish.

You must not use Community to:

• Harass, threaten or abuse others.
• Publish unlawful or fraudulent content.
• Impersonate another person or organization.
• Spread spam or scams.
• Deliberately publish dangerously false agricultural information.
• Infringe intellectual property or privacy rights.
• Upload malicious software or interfere with the Services.
• Engage in other conduct prohibited by our Community Guidelines.

We may moderate, restrict, remove or otherwise act on content or accounts that violate these Terms, our Community Guidelines, applicable law or the safety of the Services.

We do not necessarily review Community content before it is published and do not endorse opinions or recommendations posted by users.

You retain ownership of content you submit to Plantshaven, subject to any rights belonging to others.

You grant us a limited, non-exclusive, worldwide licence to host, store, reproduce, process, transmit and display your content only as reasonably necessary to operate, provide, secure and improve the Services and fulfil the purposes described in our Privacy Policy.

For content you intentionally publish through Community, this licence also allows us to make that content available to other users as part of the Community service.

This licence does not transfer ownership of your content to Plantshaven.

You represent that you have the rights and permissions necessary to submit content to the Services.

You may not use Plantshaven to:

• Violate applicable law.
• Infringe another person's rights.
• Access another person's account or data without authorization.
• Circumvent security or access controls.
• Introduce malware or harmful code.
• Interfere with or disrupt the Services.
• Scrape or systematically extract data without authorization.
• Reverse engineer the Services except where applicable law expressly permits it.
• Abuse, manipulate or overload our systems.
• Use automated means to access the Services in a manner we have not authorized.
• Use Plantshaven to facilitate fraud or other unlawful activity.

We may take reasonable measures to detect and prevent misuse.

Plantshaven and its associated software, design, branding, interfaces, documentation and other materials are owned by or licensed to KAAMBU TECHNOLOGIES LTD and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable right to use the Services for their intended purposes.

These Terms do not grant you ownership of Plantshaven's technology, branding or other intellectual property.

Plantshaven relies on and may integrate with third-party services.

We are not responsible for third-party services that operate independently of Plantshaven, and their services may be subject to their own terms and policies.

The availability or performance of third-party services may affect parts of Plantshaven.

Plantshaven may introduce paid features, subscriptions or other paid services.

Where paid services are offered, applicable pricing, billing frequency, renewal terms and cancellation information will be presented before purchase.

Purchases made through an application marketplace may also be subject to the marketplace's applicable payment and subscription terms.

Additional payment or subscription terms may apply when paid services are introduced.

We aim to provide reliable Services, but we do not guarantee uninterrupted or error-free availability.

The Services may occasionally be unavailable because of:

• Maintenance.
• Technical failures.
• Connectivity problems.
• Third-party service failures.
• Security incidents.
• Events outside our reasonable control.

We may modify, add, remove or discontinue features where reasonably necessary.

Where a change materially affects users, we may provide notice where appropriate.

You may stop using Plantshaven at any time and may request account deletion in accordance with our available account-deletion process.

We may restrict, suspend or terminate access where reasonably necessary, including where:

• You materially or repeatedly violate these Terms.
• Your account is used unlawfully or fraudulently.
• Your use creates a security or safety risk.
• We are required to do so by law.
• Continued access could materially harm Plantshaven, our users or others.

Where appropriate, we may provide notice or an opportunity to address the issue.

Account termination does not affect provisions of these Terms that by their nature should continue to apply.

To the extent permitted by applicable law, Plantshaven is provided on an "as is" and "as available" basis.

We do not guarantee that:

• The Services will always be available or error-free.
• Information provided through the Services will always be accurate or complete.
• AI-generated outputs will correctly identify a crop, pest, disease, condition or appropriate response.
• Use of the Services will produce a particular agricultural, operational or financial result.

Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.

To the extent permitted by applicable law, KAAMBU TECHNOLOGIES LTD and its directors, employees, contractors and affiliates will not be liable for indirect, incidental, special, consequential or similar losses arising from or relating to your use of the Services.

This may include loss of profits, crops, production, business opportunities, data or other economic loss.

Plantshaven is a decision-support tool. You remain responsible for decisions made concerning your agricultural or business operations.

Nothing in these Terms limits or excludes liability where doing so would be prohibited by applicable law.

To the extent permitted by applicable law, you agree to indemnify and hold KAAMBU TECHNOLOGIES LTD harmless from claims, losses or expenses arising from:

• Your unlawful use of the Services.
• Content you submit in violation of another person's rights.
• Your material violation of these Terms.

This provision does not apply to the extent a claim results from our own unlawful conduct.

Our Privacy Policy explains how we collect, use, share, retain and protect personal information.

By using Plantshaven, you acknowledge that your information will be handled as described in that Policy.

We may update these Terms as Plantshaven develops, our Services change or legal requirements evolve.

When we make changes, we will update the date at the top of these Terms.

If changes materially affect your rights or obligations, we may provide additional notice or request renewed acceptance where appropriate.

Continued use of the Services after updated Terms become effective constitutes acceptance where permitted by applicable law.

These Terms are governed by the laws of the Federal Republic of Nigeria, without prejudice to any mandatory rights you may have under applicable law.

We encourage you to contact us first if you have a concern so that we can try to resolve it.

Nothing in these Terms prevents either party from exercising rights or remedies available under applicable law.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

You may not transfer your rights or obligations under these Terms without our consent. We may transfer our rights and obligations in connection with a restructuring, merger, acquisition or transfer of the Plantshaven business, subject to applicable law.

These Terms, together with any additional terms or policies that expressly apply to a feature, form the agreement governing your use of Plantshaven.
